1. Definitions

In these Terms and Conditions:

• "Doi Vertex," "we," "us," or "our" refers to Doi Vertex Co., Ltd., registered in Thailand, with its principal place of business at 29 Ploenchit Road, Lumpini, Bangkok 10330.
• "Client" or "you" refers to any individual or organisation that accesses this website or engages Doi Vertex for consulting services.
• "Services" refers to the consulting engagements offered by Doi Vertex, including Competitive Positioning Analysis, Succession Planning Framework, and Joint Venture Structuring Advisory.
• "Website" refers to the site hosted at doi-vertex.biz and all related pages.
• "Engagement Agreement" refers to any written agreement between Doi Vertex and a Client governing a specific consulting engagement.

2. Website Use

2.1 Permitted use

You may use this website for lawful purposes only — to learn about our services, to contact us, and to access information we have published. You agree not to use the website in any manner that could damage, disable, or impair its operation, or interfere with other users' access.

2.2 Accuracy of information

The content on this website is provided for general informational purposes. While we take care to keep information current and accurate, we make no representations or warranties as to its completeness or fitness for any particular purpose. Service descriptions, pricing, and engagement details may be updated from time to time. Current information is confirmed at the start of each engagement.

2.3 Intellectual property

All content on this website — including text, design elements, graphics, and the arrangement thereof — is the property of Doi Vertex or its content suppliers and is protected under applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from website content without our prior written consent.

3. Consulting Services

3.1 Engagement initiation

A consulting engagement begins only upon execution of a written Engagement Agreement signed by both parties. Submissions through the contact form on this website constitute an expression of interest only and do not constitute a binding agreement.

3.2 Scope of services

The specific scope, deliverables, timeline, and fees for each engagement are defined in the Engagement Agreement. Any additions to or changes in scope must be documented in a written scope amendment agreed by both parties.

3.3 Nature of consulting advice

Our consulting deliverables represent professional analysis and considered recommendations based on information provided by the Client and available at the time of the engagement. Consulting advice does not constitute legal, financial, or regulatory guidance. Clients are responsible for their own decisions and for seeking appropriate specialist advice where necessary.

3.4 Client responsibilities

To deliver quality work, we depend on Clients to provide accurate, complete, and timely information. Delays or inaccuracies in client-provided information may affect engagement timelines and outcomes. Doi Vertex is not liable for deficiencies in deliverables arising from incomplete or inaccurate information provided by the Client.

4. Fees and Payment

4.1 Fee schedule

Fees are specified in the Engagement Agreement. Prices on the website (Competitive Positioning Analysis ฿8,400 · Succession Planning Framework ฿20,800 · Joint Venture Structuring Advisory ฿39,500) are indicative and subject to confirmation at engagement initiation.

4.2 Payment terms

Unless otherwise agreed in writing, fees are invoiced in accordance with the milestone schedule set out in the Engagement Agreement. Payment is due within 15 days of the invoice date. Invoices are issued in Thai Baht (THB).

4.3 Late payment

We reserve the right to suspend work on an engagement where an invoice remains unpaid beyond its due date and we have provided reasonable notice. Late payments may be subject to interest charges as permitted under Thai law.

5. Confidentiality

Both parties acknowledge that information shared during an engagement may be sensitive. Doi Vertex treats all Client information as confidential and will not disclose it to third parties except as required to deliver the agreed services or as required by law. Confidentiality obligations survive the conclusion of an engagement.

Specific confidentiality obligations may be detailed further in individual Engagement Agreements or in a separate Non-Disclosure Agreement (NDA) where appropriate.

6. Limitation of Liability

To the extent permitted by Thai law, Doi Vertex's liability to a Client in connection with any engagement is limited to the total fees paid by that Client for the specific engagement giving rise to the claim.

We are not liable for:

• Indirect, incidental, or consequential losses
• Loss of revenue, profits, or business opportunities
• Outcomes arising from a Client's decision to act on or not act on our recommendations
• Circumstances beyond our reasonable control

Nothing in these terms excludes liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.

7. Termination

7.1 Termination by the Client

A Client may terminate an engagement by providing written notice. Fees for work completed to the point of termination, plus any committed third-party costs, remain payable. The specific terms governing early termination are set out in the Engagement Agreement.

7.2 Termination by Doi Vertex

We reserve the right to terminate or suspend an engagement in the event of material breach of the Engagement Agreement by the Client, including non-payment, or where continued engagement would require us to act contrary to applicable law or professional standards.

8. Governing Law and Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. In the event of any dispute arising from these terms or an Engagement Agreement, the parties agree to seek resolution through good-faith negotiation in the first instance. If negotiation is unsuccessful, disputes shall be subject to the exclusive jurisdiction of the Thai courts.

9. Privacy

The collection and processing of personal data in connection with your use of this website and our services is governed by our Privacy Policy, which forms part of these terms by reference.

10. Changes to These Terms

We may update these terms from time to time. Changes will be posted to this page with a revised "Last updated" date. For active engagements, we will provide reasonable notice of any material changes. Continued use of this website after changes have been posted constitutes acceptance of the updated terms.

11. Severability

If any provision of these terms is found to be invalid or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it valid, or severed if modification is not possible. The remaining provisions will continue in full force and effect.
